Artwork Consignment and Performance Works
The Artist hereby consigns to The Foundation the artwork(s) listed in Exhibit A for exhibition and potential sale during the Exhibition. Ownership of all works remains with the Artist unless and until a sale is completed.

For performance-based works, sound works, or other time-based or ephemeral practices (“Performance Works”), the Artist grants the Foundation a non-exclusive, royalty-free, limited license to document, present, and promote the work solely in connection with the Exhibition and the Foundation’s nonprofit programming. This may include photography, video, audio recording, and written documentation for promotional, educational, archival, and reporting purposes. All intellectual property rights remain with the Artist, and the Foundation does not retain ownership or exclusive rights to the work or its documentation beyond the uses described above.

Sales and Commission
The Foundation will act as a non-exclusive sales agent for consigned works during the Exhibition.

If a work is sold during the Exhibition or within thirty (30) days following its close as a direct result of the Exhibition or related promotion, the Artist will receive seventy-five percent (75%) of the gross sale price, and the Foundation will retain twenty-five percent (25%) of the gross sale price in support of its nonprofit mission and programming.

Payments will be issued to the Artist within thirty (30) days of receipt of full payment from the purchaser and will be made via bank transfer unless otherwise agreed in writing.

Pricing
The Artist shall provide retail sale prices for each work in U.S. dollars (USD). The Foundation agrees not to discount or sell any work below the listed price without the Artist’s prior written consent.

Artists who do not wish to offer a work for sale must clearly designate the work as Not For Sale.

Exhibition, Promotion, and Image Use
The Foundation agrees to install, display, and promote the artwork in a professional manner consistent with institutional gallery standards. The Artist grants the Foundation permission to use the Artist’s name, biography, and images or documentation of the artwork for promotional, educational, press, and archival purposes related to the Exhibition and the Foundation’s nonprofit activities. No other use will be made without the Artist’s consent.

Delivery, Installation, and Return/Pick up
Artists are responsible for all costs associated with delivery, shipping, and retrieval of their work unless otherwise agreed in writing.

Drop-off / Delivery: 20–26 April.
Installation Period: 28–30 April.
Pick-up / Return Delivery: 11–12 May.

Artists shipping works must include prepaid return shipping labels. 

Detailed delivery instructions and scheduling information will be provided upon acceptance.

The Exhibition will take place at our gallery venue, located at 53 Scott Avenue in Brooklyn, New York, featuring substantial indoor exhibition space as well as outdoor terraces.

Any artwork not retrieved within thirty (15) days following the designated pick-up period may be considered abandoned unless alternative arrangements have been approved in writing.

Care, Damage, and Insurance
While the Foundation will exercise reasonable care in handling and displaying all artwork, it does not assume liability for loss, theft, or damage. Artists are strongly encouraged to maintain their own insurance coverage for the full value of their work during transit and the Exhibition period.

Taxes and Reporting
The Artist is solely responsible for all applicable taxes arising from the sale of artwork. In accordance with U.S. tax regulations, the Foundation will issue a Form 1099-NEC to Artists receiving total payments of six hundred dollars ($600) or more within a calendar year.
