The Cultural Council is pleased to showcase art by professional Palm Beach County artists working in a wide variety of media in our next summer exhibition titled “2019 Cultural Council Biennial.” This open call will be juried by Melanie Johanson, contemporary curator at The Cornell Art Museum.The juried process will be handled through CaFÉ.org. Cash prizes will be awarded by the juror for Best of Show, 2nd and 3rd places as well a People’s Choice award, an opportunity for patrons to vote for their favorite. All artists who submit to this juried show must live or work in Palm Beach County.
Each artist is able to submit up to FIVE works to be considered by our juror with varying degrees of payment: $40 for three works, $10 each for up to two additional images. There are no limitations to media or size for this juried show. All work must be completed in the last three years and not have been shown in Palm Beach County. For sculpture, pedestals should be requested at the time of submission. Each work will be juried as individual artworks. All work should have the following completed: Title, Date, Media, Dimensions and Price.
When a sale occurs, the Cultural Council will retain only 25% of the sale which goes directly back to Artist Services.
The application opens February 1, 2019 and will close March 30, 2019. Artists will be notified via letter April 12, 2019. No phone calls please.
The exhibition will run from May 31 through August 10, 2019. Hours of operation are Tuesday through Saturday, 10 a.m. to 5 p.m.
FINE ART LOAN AGREEMENT
Exhibition Title: 2019 Cultural Council Biennial
Dates of Exhibition: May 31 through August 10, 2019
Dates of Loan: May 21 through August 21, 2019
THIS FINE ARTS LOAN AGREEMENT (AGREEMENT) is made by and between the Cultural Council of Palm Beach County (CC) and the above named LENDER for the exhibition 2019 Cultural Council Biennial Exhibition from May 31 through August 10, 2019, of the Inventory of Fine Arts (Schedule A) attached hereto and incorporated within.
WHEREAS CC desires to exhibit such Fine Arts, subject to the following terms and conditions; THE PARTIES DO HEREBY AGREE AS FOLLOWS:
A. GENERAL
1. The conditions set forth on this form apply to all objects lent to the CC and cannot be altered, changed, waived or otherwise amended except as agreed in writing.
2. Attributions, dates and other information shown on the face of this Agreement which pertain to the loaned property are as given by the LENDER unless otherwise specified. This Agreement is not intended to confirm the accuracy of the information.
B. TRANSPORTATION AND PACKING
1. The LENDER assumes sole responsibility of transportation to and from the CC for exhibition.
2. The LENDER certifies that the loaned property is in such condition as to withstand ordinary strains of packing and transportation and handling.
3. When appropriate, Customs regulations will be adhered to in international shipments and the LENDER is responsible for adhering to his/her country's import/export requirements.
4. The LENDER is responsible for picking up their work from the CC post-exhibition at the appointed time. Due to finite storage space, the CC cannot store Fine Art long term.
5. The LENDER may choose to make arrangements for the return of the loan at LENDER’S expense, including insurance, at the loan termination date by notifying the CC in writing 15 calendar days prior to the termination of the Agreement.
6. The Fine Art will be returned only to the LENDER at the address shown in this agreement unless the CC is notified in writing. If the legal ownership of the Fine Art shall change during the period of the loan, the new owner may, prior to its return, be required to establish legal right to receive the loan by proof satisfactory to the CC.
C. EXHIBITION
1. All Fine Art on loan must be installation ready.
2. Acceptance of this loan does not imply that all loaned property will be placed on public display.
3. The loaned property shall remain in possession of the CC for the full exhibition period; no substitutions can be made during the time of exhibition.
4. If the work is for sale and is sold during the period of this loan, the Lender shall pay twenty five percent (25%) of the selling price to the CC.
5. The CC maintains control of all sales during the exhibition.
6. All work listed on the Schedule A is bound to these terms and nothing will be changed during the course of the exhibition unless agreed to in writing by the lender and the CC.
D. CARE AND PRESERVATION
1. The CC will give loaned property in its custody the same care provided to similar property of its own.
2. It is agreed that if condition notes are supplied by the LENDER, the CC will verify their accuracy. If condition notes are not supplied by the Lender the CC will assess the condition when the property is received and this assessment will establish the condition of that property at the time of the loan.
3. The CC will give prompt notice to the LENDER in case of damage and/or loss to the property at the time of receipt or while in custody of the CC.
4. The LENDER will be requested to provide written authorization for any restoration of or any alteration or repair to the loaned property that is undertaken on his/her behalf by the CC unless:
a) immediate action is required to protect the loaned property or other property in custody of the CC or
b) the loan property has become a health and safety hazard.
E. INSURANCE
1. LENDER PROVIDES INSURANCE
a) If the LENDER elects to maintain its own insurance, the LENDER’S insurance shall be primary.
b) If the LENDER elects to provide insurance on the loaned work, the LENDER agrees that the CC will not be liable for any loss or damage to the objects, for any error or deficiency in the information furnished to or by the LENDER’S insurers, or for lapses in coverage. In addition, the LENDER must provide the CC with a Certificate of Insurance stating the “Cultural Council of Palm Beach County” as an additional insured, or provide a waiver of subrogation executed by the LENDER. Otherwise, the Agreement will constitute a release of the CC from any liability in connection with the loaned work. If in the event insurance coverage is maintained by the LENDER, the LENDER shall notify the CC in writing of any change in insurance coverage.
2. CC PROVIDES INSURANCE
a) If the LENDER elects not to provide insurance on the loaned work to the CC, the objects will be insured by the CC under a standard policy it has obtained for this general purpose. The amount payable by this insurance is the sole recovery available to the LENDER in the event of loss or damage.
Unless the LENDER elects to maintain its own insurance coverage for the loan period, the CC will insure this Fine Art under an all risk property insurance policy through Starnet Insurance Company, 475 Steamboat Road, Greenwich, CT 06830, for the amount indicated on Schedule A of this agreement, during the period of the loan as per the terms of the insurance policy, a copy of which can be provided upon request. The policy referred to contains limitations for acts of God in addition to other exclusions.
1. TRANSPORTATION
a) The LENDER is solely responsible for insurance of the Fine Art door to door, or while the work is in transit to the CC.
b) The CC shall only insure the work during transportation, door to door, provided a representative on behalf of the CC collects and delivers the work to and from the CC.

2. BASIS OF VALUATION IN EVENT OF LOSS OR DAMAGE
a) Fine Art on loan or entrusted from museums, art galleries and the like: Museum values will be accepted where such value has been established to the satisfaction of the knowledgeable CC representative and the lending institution.
b) Fine Art on loan or entrusted from private collections or individuals: Declared Value or Fair Market Value whichever is lower at the time of loss. If an Agreed Value is to be used, it must be supported by up-to-date evidence of value (i.e., a qualified appraisal) which has been submitted to and agreed by Starnet Insurance Company prior to acceptance of the objects.
Declared Value shall mean the valuation of an object, loaned or entrusted to the CC under this Policy, declared by the owner as representing the current market value at the time such object is insured under the policy.
Fair Market Value shall mean the valuation of an object, loaned or entrusted to the CC and mutually agreed upon by the owner and Starnet Insurance Company as representing the amount for which such object could have been sold immediately prior to physical loss or damage which reduces the value of the object to the owner and results in a claim or loss.
Agreed Value shall mean the valuation of an object loaned or entrusted to the CC and accepted by Starnet Insurance Company as being the value of the object for the purposes of adjusting a claim for physical loss or damage.
c) Pairs and Sets: In case of loss or damage, the insurance is extended to cover as a part of such loss the reduction in value in pairs or sets when the said reduction in values results from the damage or destruction of other parts of the set.
d) If the LENDER fails to indicate an amount, the CC, with implied concurrence of the LENDER, shall set a value for purposes of insurance for the period of the loan. Said value is not to be considered an appraisal. In the case of long-term loans, it is the responsibility of the LENDER to notify the CC of changes in insurance valuations.
e) If a work which has been industrially fabricated is damaged, and it can be repaired or replaced to the artist’s specifications, the CC’s responsibility will be limited to the cost of such repair or replacement.
F. CATALOGUE AND PUBLICITY
1. Unless the LENDER has indicated to the contrary, except for photographs loaned to the CC, LENDER hereby grants to CC the right to photograph, sketch, and/or reproduce the Fine Art(s) for promotional and educational purposes in connection with the exhibition or future promotion of the CC. In addition, the CC may make reproduction photos of the Fine Art for educational purposes. No slides or photographs of Fine Art(s) will be made available for commercial use.
These terms and conditions shall be governed by the laws of the State of Florida. LENDER agrees to comply with all laws of the United States and of the State of Florida, the rules, regulations and policies of the CC, and any applicable municipal or county ordinances. These terms and conditions are personal to the LENDER and may not be assigned in whole or in part by LENDER.
LENDER expressly waives all rights, claims and demands, and forever releases, discharges and holds harmless the CC, the Palm Beach County Tourist Development Council or any of their affiliated agencies, such as the Convention and Visitor’s Bureau, Sports Commission and the Film and Television Commission, Palm Beach County, the State of Florida, and their officers, agents, volunteers and employees from any and all demands, claims, actions and causes of action arising from any cause whatsoever and arising directly or indirectly out of the exhibition, whether caused by LENDER’S action or negligence or the action or negligence of the CC or any third parties.
LENDER agrees to indemnify and hold free and harmless, and defend the State of Florida, the Board
of Directors, CC and their officers, employees and agents, from and against any and all actions, claims, liabilities, assertions of liability, losses, costs and expenses, including attorney’s fees, which in any manner directly or indirectly may arise or be alleged to have arisen, or resulted or alleged to have resulted from the presence, activities and promotions of every kind and nature of LENDER or its officers, employees, agents and contractors, in connection with its exhibition, specifically including claims for infringement or misappropriation of a copyright, patent, trade secret or other third party proprietary right.
This Agreement shall be governed by the laws of the State of Florida, which shall also be the forum for any litigation arising from or incident to this Agreement. This Agreement may not be assigned by either party without the express written consent of the other, in advance.
