Agreement for Exhibition and Sale of Artwork THIS AGREEMENT is made between the Lexington Art League, Inc. (the “LAL”) located at 209 Castlewood Drive, Lexington, KY 40505 (859-254-7024) and (the “Artist”) WHEREAS, the LAL is a non-profit corporation engaged in various charitable and educational activities relating to the visual arts; and WHEREAS, from time to time the LAL sponsors or conducts exhibitions of works of art that are submitted to and accepted by the LAL for exhibition, and/or sale; and WHEREAS, the Artist desires to submit the works of art listed below to the LAL for exhibition and/or sale under the terms and conditions hereinafter set forth. NOW THEREFORE, in consideration of the foregoing premises, the parties agree as follows: 1. Consignment: Artist hereby consigns to the LAL for exhibition and/or sale of work(s) of art (the “Artwork”) The LAL accepts the consignment of the Artwork for exhibition/sale at the Loudoun House Gallery for the period from the period of the exhibition as stated in this call. 2. Sale of Artwork: Artist agrees that the LAL shall be entitled to thirty percent (30%) of the proceeds from the sale of the Artwork after deducting Kentucky Sales Tax from the gross sales amount, or any portion thereof, during the Exhibit and for a period of sixty (60) days following the Exhibit when such sale is a result of the Exhibit. In addition, the LAL will remit to Artist seventy percent (70%) of the proceeds received from sale of the Artwork no later than the 15th or 30th of the month following the close of the Exhibit; The LAL agrees to collect a minimum of fifty percent (50%) of the purchase price for Artwork, upon its sale, with the balance due no later than the date of the close of the Exhibit. The Artwork will not be released to the purchaser until the purchase price is paid in full. If the balance is not paid in full within thirty (30) days of the close of the Exhibit, the Artwork will be returned to the Artist and the down payment returned to the Patron; The LAL agrees to collect Kentucky Sales Tax from the purchaser of the Artwork on or before the close of the Exhibit and pay same to the Kentucky Revenue Cabinet. 3. Responsibilities of the LAL: To maintain minimum casualty insurance on the Artwork for the period of time that the Artwork is on the LAL premises, but for no longer than the LAL specified date of drop-off of the Artwork to the LAL specified date of pick-up of the Artwork. A copy of the limited casualty insurance policy will be provided to the Artist upon request. The LAL is not responsible for any damage caused by acts of God, nature, war, riot, or environmental hazards and is not responsible for any loss or damage to the Artwork except to the extent of any insurance coverage provided pursuant to this Agreement. The LAL does not warrant or guarantee that an insurance agency will agree with the retail price or insurance value as stated by the Artist; To exercise reasonable care in the handling, exhibition, and security of the Artwork during the Exhibit; To make final design, aesthetic, and functional decisions about the Exhibit; To coordinate accessibility and scheduling of all off-premises Exhibit locations, provided however that the LAL may not have the authority or ability to specify exhibition conditions at off-premises galleries, and therefore DISCLAIMS any and all responsibility, warranties or representations, express or implied, regarding same; Responsibilities of the Artist: Submit correct artwork information for insurance and gallery label purposes. To meet the responsibilities and schedules set forth in this agreement. To be present at exhibition reception events supporting the exhibition. To promote the Exhibit in which the Artwork is displayed through methods such as public appearances, social media @Lexingtonartleague , and word of mouth. Unless the LAL is notified in writing to the contrary, Artist agrees and acknowledges that the Artwork consigned to the LAL pursuant to this Agreement may be photographed and reproduced for LAL publications, publicity, and educational purposes; To transport, deliver, or have delivered the Artwork to and from the gallery where the Exhibit is being held (unless otherwise stated by both parties). The Artwork, or any portion thereof, that is left at the Exhibit gallery or any other LAL facility for more than thirty (30) days after the closing of the Exhibit shall be deemed abandoned and become property of the LAL which may be sold or otherwise disposed of without notice or compensation to the Artist; To suitably frame, furnish, and identify the Artwork included in the Exhibit. Suitable framing for all two-dimensional Artwork shall include wiring or otherwise furnishing means by which the Artwork may be hung. Artist is further encouraged to furnish suitable accessories or equipment for the LAL to use in its sole discretion for display of any three-dimensional Artwork submitted; To be available, if needed, to assist the Curator in the design, installation, and disassembly of the Artwork in the Exhibit, or to directly install the Artwork, in the case of Artwork with special installation requirements, as determined by the Curator; Once the Exhibit is installed, Artist will not remove or alter the Artwork or the Exhibit or alter the insurance or sale value of the Artwork without the written permission of the Exhibitions and Programs Director and/or the LAL Executive Director; To be responsible for any fire, theft, vandalism, or other casualty loss to the Artwork beyond the minimum insurance provided by the LAL. This is to include, but not be limited to, any deductible required by the LAL’s insurance policy; To abide by the Additional Exhibition Requirements, supplied as Addendum I, in effect at the time of signing this Agreement, if provided as an addendum to this Agreement. To abide by all LAL Gallery Policies & Procedures, supplied as Addendum II, in effect at the time of signing this Agreement, if provided as an addendum to this Agreement. This Agreement sets forth the entire agreement between the parties and no prior statements or representations shall be binding or enforceable unless contained herein. Provided, however, when an Exhibition Prospectus has been completed and signed for purposes of submitting work for a Juried Exhibit, the terms of the Exhibition Prospectus shall be incorporated herein by reference as part of this Agreement. This agreement shall be construed under the laws of the Commonwealth of Kentucky and shall be binding upon the heirs, successors, agents, and assigns of the parties. Alternative Dispute Resolution. The parties further agree that any claim or dispute arising out of, or related to this Agreement that the LAL and Artist are unable to directly resolve, shall first be referred to private and confidential mediation, prior to either party taking any legal action. Either or both parties may refer the dispute to mediation. Mediation shall be conducted through the Mediation Center of Kentucky, Inc., in Lexington, Kentucky. In the alternative, the parties may submit the dispute to private mediation with a mediator whom they have mutually agreed to use. Mediation shall take place in Lexington, Fayette County, Kentucky, within thirty (30) days of the referral, or within such other time period as the parties may agree. All parties to the dispute shall attend the mediation conference in person. The parties shall mediate in good faith in an attempt to resolve any such dispute or claim in accordance with the policies and procedures of the Mediation Center or the selected private mediator. Mediation shall further be conducted in accordance with all applicable provisions of Rules 8, 9, 11 and 12 of the Kentucky Model Mediation Rules and subject to Kentucky Rule of Evidence 408. The mediator shall be compensated at the standard rates established by the Mediation Center or selected private mediator, and the parties shall equally divide and pay the mediator’s fee. 5. Shipment: Artworks should be dropped off and picked up at the gallery when possible. Artists are responsible for shipping costs and packaging to and from the gallery. Dropped off works must be picked up by the artist. Return shipping labels must be paid for and provided by artist at time of artwork delivery If shipping -when possible, please use FedEx when shipping to and from gallery.
