The Edward A. Whitney Gallery at Sheridan College in Sheridan, WY, is currently accepting Exhibition Proposals for the 2020-21 academic year. We invite artists to submit works in any media including video, photography, painting, printmaking, sculpture, installation, etc. Exhibition proposals may consist of solo, two-person, and small group exhibitions.
Mission Statement
The Edward A. Whitney Gallery at Sheridan College provides fine art exhibitions by contemporary national and international artists to createa learning environment for students as well as to engage the broader community. The gallery works in parallel with the teaching functions of Sheridan College’s interdisciplinary Fine Art Program. We ask that artist who recieve a exhibition do a artist demo, and talk.
Payment & Sipping of Work.
The Artist/Presenter is responsible for all costs related to the shipment of work and their own travel. If Artist/Presenter wishes to have work return shipped to them, the Artist/Presenter will provide SHERIDAN COLLEGE with FedEx account number for return shipping. Work will be picked up by Artist/Presenter or their representative within TEN days of the end of the appearance. If work is not picked up within TEN days, the work will be considered abandoned and forfeited to SHERIDAN COLLEGE. Work will be received by SHERIDAN COLLEGE between 5-10 days of the installation date.
Honorarium
SHERIDAN COLLEGE provides Artist/Presenter a $1000 honorarium. Housing will be provided to Artist/Presenter upon request. In order to receive honorarium, Artist/Presenter must provide a completed W9 to SHERIDAN COLLEGE before start of exhibition.
Description of Work
The Artist/Presenter will provide an exhibition title, artist statement, and exhibition statement upon signing this contract. A detailed list of works with insurance values will be received no less than one month before installation dates.
Copyright Authorization
Artist/Presenter warrants and represents that all copyright or other proprietary material to be presented by or in conjunction with Artist’s appearance are either: (i) Artist’s/Presenter’s original work and do not infringe on the copyrights or other intellectual property rights of others; or (ii) duly licensed or otherwise authorized or approved by the copyright holders (or their authorized representatives) for use by Artist/Presenter. SHERIDAN COLLEGE reserves the right to request adequate assurances that Artist has obtained all necessary and proper licensure, permissions or other reasonably acceptable authority to present copyrighted or other proprietary matter. Artist/Presenter indemnifies and shall hold harmless SHERIDAN COLLEGE, its officers, trustees, employees, students and agents for any and all claims, demands, damages, actions, costs or liability based upon or arising from allegations that Artist’s/Presenter’s appearance infringes upon copyright or other intellectual property rights of any third party. Artist/Presenter retains all rights to their words, books, presentation images and similar materials, and except as set forth in Section 10, below, Artist/Presenter does not authorize SHERIDAN COLLEGE to use these materials without prior written authorization.
6. Announcements
SHERIDAN COLLEGE and Artist/Presenter each have the right to make public announcements and/or statements (whether in written or oral form) of the Appearance identified in this Agreement; provided, however, Artist/Presenter shall not make reference to or use the name of SHERIDAN COLLEGE in any publications for public use or distribution without SHERIDAN COLLEGE’s prior written consent, which shall not be unreasonably withheld, conditioned or delayed. However, SHERIDAN COLLEGE reserves the exclusive right to make public announcements related to any delay in the date and/or starting time of any event in its sole discretion, and Artist shall not make any such announcements. Artist/Presenter grants to SHERIDAN COLLEGE the right to use Artist’s name, bi o graphical information and likeness in connection with SHERIDAN COLLEGE ‘s exercise of the rights granted in this Section 4.
7. Cancellation of Appearance Subject to the terms of Section 8, below, if Artist/Presenter cancels the Appearance or requires a change of presentation date or time less than ninety (90) days prior to the scheduled event, Artist/Presenter shall fully reimburse SHERIDAN COLLEGE for the actual out---of---pocket expenses SHERIDAN COLLEGE incurred as a result.
8. Indemnification Artist/Presenter agrees to indemnify, defend and hold harmless Sheridan College, SHERIDAN COLLEGE and its trustees, officers, agents, students and employees, from and against any and all claims, damages, losses, deficiencies, actions, liabilities, costs and expenses of every kind (including reasonable attorneys’ fees), incurred or suffered by SHERIDAN COLLEGE that result from (i) any negligent act or omission of Artist/Presenter and its agents or employees; or (ii) Artist’s/Presenter’s breach of this Agreement; provided, however, that Artist/Presenter will not be responsible for any claims, damages, losses, deficiencies, actions, liabilities, costs and expenses to the extent directly caused by the negligence or willful misconduct of SHERIDAN COLLEGE and its agents or employees. This Agreement applies to all claims, whether related to personal injuries, bodily harm, or property damage, or any other damages related to or arising out of Artist’s/Presenter’s conduct in, on or about SHERIDAN COLLEGE facilities and property.
9. Insurance Sheridan College maintains property coverage up to $1,500,000 for coverage of artist’s property to be housed at the SHERIDAN COLLEGE. Artist/Presenter must provide a list of property values and communicate need for additional coverage 90 days prior to the scheduled event. Artist/Presenter is responsible for insuring work in transit.
10. Force Majeure Performance of this Agreement by either party is subject to acts of God, war, government regulations, riots, disaster, strikes, civil disorder, failure of power, curtailment of transportation facilities, permanent or temporary physical disability of Artist/Presenter or other reason beyond the party’s reasonable control (with the exception of inclement weather) that makes it inadvisable, illegal, or impossible to provide the facilities or hold the event. If performance of this Agreement is prevented due to any such event, each party shall be relieved of its obligations, including (i) SHERIDAN COLLEGE’s obligation to pay Artist/Presenter for the Appearance and (ii) Artist’s/Presenter’s obligation to reimburse SHERIDAN COLLEGE for out---of---pocket expenses it incurred as a result of the cancellation.
11. Assignment The services of Artist/Presenter contemplated in this agreement are unique and irreplaceable. Therefore, Artist/Presenter may not assign or transfer his/her/its rights to any third party without SHERIDAN COLLEGE’s advance written consent.
12. Release
Unless otherwise noted in this Agreement, Artist/Presenter grants SHERIDAN COLLEGE permission to:
-edit, distribute, display, perform, reproduce or publish Artist’s/Presenter’s handout material(s), if any, on
SHERIDAN COLLEGE’s website or in any SHERIDAN COLLEGE print or electronicpublication;
- photograph and distribute, display, reproduce or publish photographs of Artist/Presenter;
- make audio and/or video recordings of the live presentation, make such recordings available in real---time on SHERIDAN COLLEGE website (“webcast”) and transcribe such presentation into written form;
- edit, preserve and store such recordings or transcriptions in electronic or other appropriate format in SHERIDAN COLLEGE’s institutional repository;
- post, distribute, display, perform, or otherwise make publicly available such recordings or transcriptions on or through SHERIDAN COLLEGE’s website.
SHERIDAN COLLEGE agrees to use all recordings, transcriptions, materials, images, photographs or other identifying indicia of Artist/Presenter for SHERIDAN COLLEGE purposes only. Any other use would require Artist’s prior written authorization, which shall not be unreasonably withheld, conditioned or delayed. Artist understands and agrees that no additional compensation will be paid for subsequent use of any recordings, transcriptions, materials, images, photographs or other identifying indicia of Artist/Presenter.
13. Limitation on Liability In providing accommodations or rendering services under this Agreement, it is expressly agreed and understood that, to the fullest extent permitted by law, SHERIDAN COLLEGE and its employees or agents shall not be liable for any claims or causes of action for any loss, personal injury, death or property damage suffered by Artist/Presenter and/or its guests, agents, employees, contractors or vendors related to or arising from the use of SHERIDAN COLLEGE’s facilities, or for any articles of personal property left, abandoned, lost or stolen, except to the extent such claims or causes of action result directly from the negligence or willful misconduct of SHERIDAN COLLEGE, its agents and employees.
14. Miscellaneous This Agreement will bind both Artist/Presenter and SHERIDAN COLLEGE. Except as otherwise provided above, this Agreement may not be cancelled by either party without the other party’s prior written consent, which shall not be unreasonably withheld, conditioned or delayed. Artist/Presenter and its agents and employees are prohibited from possessing a firearm or other weapon on any SHERIDAN COLLEGE property or in or around any College facility, and shall comply in all respects with SHERIDAN COLLEGE’s policies related to weapons and firearms. This Agreement supersedes any other oral or written agreements. The provisions of this Agreement shall survive the termination and/or expiration of this Agreement. This Agreement shall be interpreted under the internal laws of the State of Wyoming.
